## Terms Summary / Resumo dos Termos

### 1. Purpose / Objeto
Cartpy organizes physical-product sales end to end: product catalog, offers, checkout, orders, and fulfillment in a unified workflow. These terms govern platform usage for producers and account-holding entities. Current release exclusively serves physical-product sales.

### 2. Account and Invitation / Conta e Convite
Access is strictly invite-only. Account registration requires a valid invitation code or link. Producers are responsible for maintaining information accuracy, credential secrecy, and account actions. Cartpy reserves the right to restrict or suspend accounts violating terms or applicable law.

### 3. Responsibilities / Responsabilidades
The producer is solely responsible for listed products, offer pricing, fulfillment, consumer protection compliance, and tax obligations arising from sales. Cartpy provides sales infrastructure; the consumer relationship exists directly between producer and buyer.

### 4. Payments via Own Providers / Pagamentos via Provedores Próprios
Transactions process directly through payment provider accounts held by the producer (Pagar.me, Mercado Pago, Asaas, PagBank, Stripe) via credentials supplied by the producer. Settlement, fees, and payouts are governed by the contract between producer and payment provider. Cartpy does not hold or intermediate funds and is not a financial institution.

### 5. Cartpy Indica+ Referral Program / Programa de Indicação
Referrers earn a 10% lifetime commission on Cartpy platform fees collected from referred accounts for as long as those accounts remain active. Monthly settlement requires the referrer to issue a valid invoice (Nota Fiscal) based on Cartpy reports. Commission belongs exclusively to the referrer; invited accounts receive platform access without cashback.

### 6. Termination / Encerramento
Producers may close their account at any time via official support channels. Cartpy may suspend or terminate accounts for term violations, fraud, or legal mandates. Pre-existing obligations (pending orders, tax duties) survive account termination.

### 7. Jurisdiction and Governing Law / Foro e Legislação
Governed by the laws of the Federative Republic of Brazil. Competent court jurisdiction will be specified in the final approved release of this document.
